AetherAI Terms of Service

3.1. Information Provision

To join our waitlist or receive updates, you may be required to provide certain information. You agree to provide accurate, current, and complete information during this process and to update such information to keep it accurate, current, and complete.

3.2. Information Responsibilities

You are responsible for maintaining the confidentiality of any information associated with your pre-launch record. You agree to notify AetherAI immediately of any unauthorized use of your information or any other breach of security related to your engagement with our Services. AetherAI will not be liable for any loss or damage arising from your failure to comply with this section.

3.3. Prohibited Activities

You may not provide information for anyone other than yourself without permission, or use another person's information without their express permission.

4.1. Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate AetherAI, an AetherAI employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm AetherAI or users of the Services, or expose them to liability.

4.2. Prohibited Content

You agree not to post, upload, publish, submit, or transmit any Content that:

• Is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promotes sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violates the legal rights (including the rights of publicity and privacy) of others or contains any material that could give rise to any civil or criminal liability under applicable laws or regulations.
• Is likely to deceive any person.
• Promotes any illegal activity, or advocates, promotes, or assists any unlawful act.
• Causes annoyance, inconvenience, or needless anxiety or is likely to upset, embarrass, alarm, or annoy any other person.
• Impersonates any person, or misrepresents your identity or affiliation with any person or organization.
• Involves commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising, without our prior written consent.
• Gives the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

4.3. Monitoring and Enforcement; Termination

We have the right to:

• Remove or refuse to post any Your Content for any or no reason in our sole discretion.
• Take any action with respect to any Your Content that we deem necessary or appropriate in our sole discretion, including if we believe that such Content violates the Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for AetherAI.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
• Terminate or suspend your access to all or part of the Services for any or no reason, including without limitation, any violation of these Terms.

5.1. AetherAI Content

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by AetherAI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2. Your Content

You retain any and all Intellectual Property Rights you already hold in Your Content. By submitting Your Content (such as your email for the waitlist or feedback) to us, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute Your Content in any and all media or distribution methods (now known or later developed) in connection with the Services. We do not use your contact information for advertising purposes outside of communications you opt into.

5.3. Feedback

If you provide AetherAI with any feedback, suggestions, comments, or ideas regarding the Services ("Feedback"), you agree that AetherAI is free to use, disclose, reproduce, license, distribute, and exploit such Feedback as it sees fit, without any obligation or restriction to you.

6.1. "AS IS" Basis

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER AETHERAI NOR ANY PERSON ASSOCIATED WITH AETHERAI MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

6.2. No Warranty

WITHOUT LIMITING THE FOREGOING, NEITHER AETHERAI NOR ANYONE ASSOCIATED WITH AETHERAI REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

6.3. No Professional Advice

Any information or content provided through the Services is for general informational purposes only and does not constitute professional advice, including but not limited to legal, financial, medical, or investment advice. This includes AI-generated insights, if/when applicable. You should consult with a qualified professional for advice tailored to your specific situation.

9.1. Termination by You

You may stop using our Services at any time. You can request the deletion of your information by contacting us at support@aetheraiapp.com.

9.2. Termination by AetherAI

We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

9.3. Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10.1. Governing Law

All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule.

10.2. Arbitration (Optional - Consider Legal Counsel)

At AetherAI's sole discretion, and particularly as our services evolve beyond the pre-launch phase, we may elect to require you to submit any disputes arising from these Terms or the use of the Services, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Texas law.

10.3. Exclusive Venue (If No Arbitration)

If the arbitration clause above is not elected or is deemed unenforceable, any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas, in each case located in the City of Dallas and County of Dallas, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12.1. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12.2. Entire Agreement

The Terms and our Privacy Policy constitute the sole and entire agreement between you and AetherAI regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

12.3. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without AetherAI's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. AetherAI may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
